Issuance of notes by Compañía General de Combustibles S.A. under its Frequent Issuer program

Bomchil has advised Compañía General de Combustibles S.A. and Bruchou, Fernández Madero & Lombardi acted as counsel to the placement agents on the recent issuance of the company’s (i) 5.00% Notes Series 19 due in June 2023 (Obligaciones Negociables Clase 19) for an amount of US$35.962.860 denominated in U.S. Dollars and payable in Argentine Pesos at the prevailing exchange rate; and (ii) 7.00% Notes Series 21 due in June 2023 (Obligaciones Negociables Clase 21) for an amount of US$14.037.140, denominated and payable in U.S. Dollars.

Both Series were paid-in in cash or in kind by delivering any of the following series issued by the company: Series 13 due June 2021, 5.00% Notes Series 15 due August 2021 and/or 9.00% Notes Series 12 due June 2021 issued by the company.

The issuance of the notes took place on June 10, 2021 under the Frequent Issuer program of the company. The proceeds obtained from the issuance will be allocated to (i) debt refinancing; (ii) investments in the Austral Basin; and (iii) working capital.

Banco de Galicia y Buenos Aires S.A.U., Industrial and Commercial Bank of China (Argentina) S.A.U. and Banco Santander Río S.A. acted as book-running managers and placement agents, while Allaria Ledesma & Cía. S.A., AR Partners S.A., BACS Banco de Crédito y Securitización S.A, Balanz Capital Valores S.A.U., Banco de la Provincia de Buenos Aires, Facimex Valores S.A., Puente Hnos. S.A. and TPCG Valores S.A.U. acted as placement agents.

The notes are listed in Bolsas y Mercados Buenos Aires S.A. and Mercado Abierto Electrónico S.A.
